Article 1 Purpose and scope of the contract

2M TRANSPORT "The Executive Transport" is the trade name of the single-person simplified joint stock company 2M TRANSPORT registered with the RCS of VERSAILLES under number 509 346 797 000 20 whose head office is located at 4 square Jasmin, 78150 Le Chesnay, (here after referred to as "2M TRANSPORT" or "the carrier"), holder of transport license n°2009/11/0000991. using vehicles with less than 9 seats. 2M TRANSPORT offers a passenger transport service (personalized transfer) between all destinations designated by the customer. The services offered by 2M TRANSPORT are reserved for adult individuals and legal persons with legal personality, (hereinafter referred to as " the customer(s)” or “the beneficiary(ies)”). service carried out under normal conditions of organization, safety, quality, compliance with regulations and in accordance with the provisions of Law No. 82-1153 of December 30, 1982. Thus, transport operations must under no circumstances be conducted under conditions incompatible with the regulations on working conditions and safety. These general conditions govern the relationship between the principal and the carrier. They apply automatically, in whole or in part, in the absence of contrary or different written stipulations agreed between the parties. These general conditions of sale are available on all commercial documents (quotes and invoices) and on the website http://2m-transport.fr. They are available on request from the Carrier at the contact details indicated in the Contract. The Carrier reserves the right to modify the terms of these conditions at any time. The applicable provisions will be those in force on the day of booking the transport service.

Article 2 Definitions

For the purposes of these general terms and conditions, the following terms are understood to mean: - “principal” the party who concludes the contract of carriage with the carrier. The principal may be the beneficiary of the transport or the intermediary responsible for organizing the transport for the beneficiary; - "carrier" the party to the contract, duly registered in the register of public road passenger transport companies, who undertakes, under the terms of the contract, to transport, under the conditions referred to in Article 1, for consideration, a group of people and their luggage, from a defined place to another defined place; - "driver" the person who drives the vehicle or who is on board the vehicle as part of the service to take over from his colleague; - "service" the occasional collective service, which involves the placing of a vehicle at the exclusive disposal of a group of people; - “public transport of children” transport organized primarily for people under the age of eighteen; - “initial pick-up” the moment when the first passenger begins to board the vehicle ;- "final removal" the moment when the last passenger finishes getting out of the vehicle; - "duration of availability" the time that elapses between the moment when the vehicle is made available to the principal and the moment when the carrier regains the freedom to use of it. The duration of availability includes the time for picking up and dropping off passengers and their luggage, which varies according to the nature of the service; - "intermediate stopping points" places other than the point of initial pick-up and the final drop-off point, where the vehicle must stop at the request expressed by the client when concluding the contract; - "schedules" the schedules defined according to normal traffic and transport conditions, guaranteeing compliance with safety obligations and social regulations relating to drivers' driving and rest times; responsibility for him to inform the carrier before the start of the service; - "luggage" the identified goods transported on board the vehicle or its trailer and belonging to the passengers; - "hand luggage" the b wages that the passenger keeps with him.

Article 3 Characteristics of vehicles

Each vehicle made available to the ordering party by the carrier must be: - in good working order and comply in all respects with the regulatory technical obligations (annual technical inspection); - adapted to the distance to be traveled, the characteristics of the group and to the possible requirements of the principal; - compatible with the weight and volume of the luggage provided. Passengers are responsible for damage caused by their actions to the vehicles. Any deterioration or degradation will be subject to an invoicing corresponding to the total amount of the repairs.

Article 4 Safety on board vehicles

The maximum number of people who can be transported cannot exceed that indicated on the gray card of the vehicle concerned. The carrier is responsible for transport safety, including every boarding and alighting of passengers. The driver takes the necessary safety measures and, if necessary, gives instructions to the passengers, who are required to follow them. It is agreed that passengers undertake to behave in accordance with the rules of common sense and respect for the French laws and regulations in force. These rules relate to the prohibition of smoking, the consumption of alcohol and the transport of dangerous substances on board vehicles. All 2M TRANSPORT vehicles are fitted with seat belts. The carrier informs passengers of the obligation to wear this equipment. Except for exceptions provided for in the Highway Code, the wearing of seat belts applies to each passenger, adult and child. 2M TRANSPORT reserves the right to refuse access to the vehicle, without any form of compensation, to any passenger who contravenes the regulations, or whose behavior is clearly likely to put the Carrier or other passengers at risk. stops are left to the initiative of the carrier or the driver to meet the obligations of safety and compliance with social regulations relating to driving times and rest periods for drivers, or other necessities. For an accompanied group, both the carrier and the driver must know the names of the people with organizational or supervisory responsibilities, the nature of which must be specified. These persons designated as responsible must be aware of the transport organization conditions agreed with the carrier and hold the list of persons making up the group. The principal must arrange for this information to be communicated to them before the start of transport. At the request of the client, the driver provides information before departure on the safety measures and devices, adapted to the nature of the service and to the passengers. More specifically concerning public transport of children, the driver must :- ensure the presence of the regulatory pictograms for the signal for transporting children;- it is essential to use the distress signal when the vehicle is stationary when children are getting on or off;- using the protective measures of appropriate manner in the event of a prolonged stoppage of the vehicle. as responsible for providing the safety instructions to be applied (danger around the vehicle, obligation to remain seated, etc.), in particular those concerning the compulsory wearing of seat belts, and to ensure that they are respected; - instruct the persons designated as responsible to count the children one by one each time they get in and out of the vehicle.

Article 5 Pricing conditions and remuneration for transport and ancillary and additional services

The prices of 2M TRANSPORT are available on any quote request. They are expressed in euros all taxes included. These prices are subject to change at any time. The Carrier guarantees the Customer the price in force on the day of confirmation of the reservation. The carrier's remuneration includes the price of transport stricto sensu, which includes in particular the remuneration of the driver(s), that of the ancillary and complementary services, to which add the costs related to the establishment and the administrative and computer management of the transport contract, as well as any tax related to the transport and, or, any duty whose collection is charged to the carrier. The price of the transport is also established according to the type of vehicle used, its own equipment, any additional equipment, the number of places offered, the distance of the transport, the characteristics and particular constraints of traffic. Any ancillary or additional service is remunerated at the agreed price . This is the case in particular for:- long-term parking on a site;- air, rail or sea transfers of the driver(s) in the event of a long period of inactivity;- additional sea (ferry) or rail transport (tunnels);- meal costs (flat rate €20 per meal);- accommodation costs (flat rate €110 hotel breakfast);- any modification of the initial transport contract attributable to the instructing party, as provided for in article 7, entails a readjustment of the carrier's remuneration conditions.- this remuneration may also be modified if an event or incident occurs as provided for in article 10.- the transport price initially agreed is revised in the event of significant variations in the charges of the transport company, which are due to conditions external to the latter, such as the price of fuel, and for which the requesting party justifies by all means. The service is free of charge. it for any child under 5 years old. Any older customer is therefore subject to the full price.

Article 6 Reservations and information to be provided to the carrier

Prior to the provision of the vehicle(s), the Customer must proceed with the reservation of the service by providing the Carrier with the information defined below:- the date, time and place of the initial pick-up of the passengers;- the place of their final drop-off; - if necessary, the intermediate stopping points; - compliance with an arrival time for a connection must be the subject of a stated requirement of the instructing party .- The composition of the group to be transported: - the maximum number of people making up the group;; - the maximum number of people with reduced mobility, including the number of people in wheelchairs; - Type of luggage: - the approximate overall weight and volume; - any preciousness and fragility; - any other specificities. - Means of communication: - the telephone number allowing the carrier to contact the instructing party at any time (24 hours a day, seven days a week). Reservations can be made via the website, by e-mail , by telephone or by fax. Reservations on the website: Reservations on the website must be made at least 24 hours before the scheduled transfer time. They are automatically confirmed by email. In order for the reservation to be taken into account, the Customer must fill in the reservation form correctly and in full, ensuring the veracity and accuracy of the information provided. Reservations by email, telephone or fax: Reservations by email, telephone or fax must be made at least 24 hours before the scheduled transfer time. The summary sheet of the transport service will be sent by email or, failing that, by any other means allowing storage (eg fax or mail) in compliance with article L.121-19 of the Consumer Code. reservations less than 24 hours before the scheduled transfer time: Reservations less than 24 hours before the scheduled transfer time must be made exclusively by telephone. The carrier will provide the service according to the availability of the vehicles. The summary sheet of the service will be sent by e-mail or, failing that, by any means allowing storage (eg fax or mail) in compliance with article L.121-19 of the Consumer Code. In the event that receipt of a written confirmation is impossible (too short deadlines), the carrier will communicate a reservation number (in compliance with articles L.121-18, L.111-1 and L.113-3 of the Consumer Code). Only reservations subject to confirmation by the carrier are taken into account. On the day of the transfer, the customer must bring his reservation confirmation or his reservation number in order to communicate them to the driver.

Article 7 Methods of payment and modification of the contract of carriage

Payment is made after receipt of confirmation on the website (secure payment by credit card), or with the driver on board the vehicle on the day of the transfer before departure. Partner customers or beneficiaries of an annual transport contract benefit from periodic invoicing. Modifications to the contract before completion: Modifications are made by email or telephone, free of charge, with 2M TRANSPORT up to 24 hours before the transfer time. Within 24 hours, changes are only possible by telephone. In all cases, modifications are made within the limits of vehicle availability. If none of the alternatives proposed by the Carrier are accepted by the Customer, the latter will have the option of maintaining their initial reservation, or canceling it under the conditions set out in article 8. Modification of the contract in progress: Any new instruction of the instructing party whose purpose is to modify the initial conditions of execution of the transport in progress must be confirmed immediately to the carrier by any process allowing memorization. The carrier is not required to accept these new instructions, in particular if they are likely to prevent it from honoring the transport commitments made initially. He must immediately notify the ordering party by any process that allows memorization. Any change to the contract may result in a readjustment of the agreed price.

Article 8 Termination of the contract of carriage

In accordance with the right of withdrawal provided for in the Consumer Code, cancellations are made via the Internet at least 24 hours before the time of the transfer. Cancellations within 24 hours must be made by telephone. In the event of cancellation by the Customer, a lump sum compensation will be due to the Carrier, equal to: - 0% of the price of the service if the cancellation occurs more than 48 hours before the scheduled transfer time.- 50% of the price of the service if the cancellation occurs between 48 and 24 hours before the scheduled transfer time.- 100% of the price of the service if the cancellation occurs less than 24 hours before the scheduled transfer time. In the event of a no-show at the time of the transfer, an indemnity of 100% of the price of the service will be due to the carrier. In the event of termination by the carrier, the client is entitled to immediate reimbursement sums paid.

Article 9 Mutual information and transparency

To ensure an equal level of information on the conditions of performance of the service as they have been concluded, the carrier informs its driver of the general and specific conditions of performance of the service. The carrier provides the instructing party with a document (transport ticket) describing the essential elements of the transport service. The principal must give it to his representative or to the passenger(s) on board the vehicle.

Article 10 Event or incident during service

If, during the performance of the service, an event or incident occurs and makes it impossible to perform all or part of this service under the conditions initially provided for in the contract, the carrier shall, as soon as possible, take the appropriate measures to ensure the safety and comfort of passengers. At the same time, he gets in touch with the principal to ask him for his instructions as to the rest of the service. If the event or incident is attributable to the carrier, the principal may claim, in the event of proven damage, compensation which may not exceed the price of transport. If the event or incident is attributable to the donor order, the latter assumes the financial consequences within the limit of the transport price. If the event or incident is due to force majeure: - the additional transport costs are the responsibility of the carrier; - the additional costs other than transport are the responsibility of the principal; - additional delays do not give rise to compensation.

Article 11 Baggage and additional services

11.1: Baggage The carrier is responsible for baggage placed in the hold or in the trunk of the vehicles. This baggage must be tagged by its owner. In the event of loss of or damage to luggage placed in the lockers, the compensation to be paid by the carrier for any justified damage for which it will be held liable is limited to the price of the transport service per unit of luggage concerned. However, this limit of compensation does not apply in the event of intentional or inexcusable fault on the part of the carrier. If necessary, the loss and damage of luggage placed in the trunks must immediately be the subject of a reasoned protest sent by registered letter. no later than three days after the day of transfer to the carrier's headquarters. The carrier, or its attendant-driver, reserves the right to refuse baggage whose weight, dimensions or nature do not correspond to what had been agreed with the principal, as well as those which he considers detrimental to the safety of transport. The hand luggage, of which the passenger retains custody, remains under his full responsibility. Before the performance of the service, the order informs each passenger of the above provisions, in particular with regard to the custody of hand baggage and the limit of compensation for baggage placed in the hold. At the end of the transport, the principal, his representative present and passengers are required to ensure that no object has been left in the vehicle. The carrier declines all responsibility in the event of deterioration or theft of anything that may have been left there. Any object found in a vehicle will be deposited at the head office of 2M TRANSPORT, where the Customer can come and collect it by making an appointment within 1 year from the date of the transfer concerned. 11.2: Animals Only small animals are authorized on board the vehicles provided that they are placed in cages or bags suitable for their transport. 2M TRANSPORT reserves the right to refuse the transport of large cages. 18 kg.- Booster seat for children under 36 kg. If such equipment proves necessary on the day of the transfer without having been requested by the customer, 2M TRANSPORT reserves the right to cancel the transfer under the conditions provided for in article 10.11.4: Availability of vehicles In certain cases of unavailability of vehicles, the carrier may provide customers with replacement vehicles. The Carrier undertakes to offer the Customer an alternative solution in the event of the unavailability of a reserved vehicle, at no additional cost. Any additional costs will be borne by the Carrier.
